Failure to maintain documentation, failure to report transactions in Form 3CEB, or maintenance of incorrect information attracts a penalty of 2 percent of the value of the international or domestic transaction. For a USD 5 million transaction, that is USD 100,000 in penalties alone.

Do I need to file Form 3CEB even if my transaction value is small?
Yes. Form 3CEB is mandatory for all international transactions regardless of value. There is no threshold exemption. Even a single USD 1,000 payment from your Indian subsidiary to your US parent triggers Form 3CEB filing. For specified domestic transactions, the threshold is INR 20 crore in aggregate.
What happens if my Form 3CEB is filed late?
Non-filing attracts a penalty of INR 100,000 under Section 271BA. Additionally, if transactions are not reported or documentation is not maintained, a penalty of 2 percent of the transaction value applies under Section 271AA. These penalties are in addition to any TP adjustments the officer may make.
My US parent charges my Indian subsidiary a management fee. Is that a TP issue?
Absolutely yes. Intra-group management fees are among the most scrutinized TP transactions in India. You need to prove three things: actual services were rendered, the Indian subsidiary received genuine benefit from those services, and the pricing is at arm's length compared to independent service providers. Poorly documented management fees get disallowed frequently during audits.
What is the new Block TP Assessment provision and should I opt in?
The Finance Act 2025 introduced Block TP Assessment which allows the Arm's Length Price determined in a particular assessment year to be applied to similar transactions in the following two years at the taxpayer's discretion. This reduces administrative burden for stable business operations but is not suitable for businesses with changing transaction patterns. We evaluate your specific situation before advising whether to opt in.
Is safe harbour available for my software development subsidiary in India?
Yes, India has safe harbour provisions for software development services, IT enabled services, contract R&D services, knowledge process outsourcing, and some other specified transactions. The safe harbour rates typically range from 17 to 25 percent operating margins depending on transaction type and value. Opting for safe harbour avoids detailed TP audit but locks you into prescribed margins. We analyze whether safe harbour or regular TP benchmarking is more beneficial for your specific situation.
What is an Advance Pricing Agreement (APA) and is it worth it?
An APA is a formal agreement with the Indian tax authority (CBDT) that locks in the transfer pricing methodology for up to 5 years prospectively, plus 4 years rollback, totalling 9 years of certainty. APAs are expensive and take 18 to 36 months to conclude, but for large recurring transactions they provide permanent peace of mind. We typically recommend APAs for transactions exceeding INR 50 crore annually or for businesses that have faced previous TP disputes.
