This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It does not need a physical or digital signature.
1. About These Terms
These terms apply between you and Krystal7 Innovations Private Limited, trading as Krystal7 Consultants ("we", "us", "our"). "You" means any visitor to krystal7.com and any client who engages us.
By using the website or engaging us, you accept these terms. If you do not accept them, please do not use the website or our services.
2. Our Services
We provide cross border compliance and advisory services to foreign founders and Indian businesses. Our work covers entity setup, FEMA and RBI reporting, ROC and secretarial compliance, GST, TDS, income tax, transfer pricing, bookkeeping and virtual CFO services.
Indian law reserves some work for licensed professionals. Examples are representation by advocates, trade mark or patent agent filings, registered valuer reports, statutory audit and certificates that need a practising professional's signature. Independent licensed professionals do this work and sign it in their own name. Each of them is responsible for the work they sign.
3. Quotes and Engagement Letters
We agree the scope, fee, timeline and payment milestones for each engagement in a written quote or engagement letter. If a quote or engagement letter conflicts with these terms, the quote or engagement letter prevails for the work it covers.
Work outside the agreed scope needs a separate written quote. We tell you before we start any such work.
4. Fees and Payment
- We quote professional fees in writing for each engagement. Our pricing page shows the fee bands most quotes fall in. The fee in your written quote is the fee that applies.
- The discovery call is free.
- GST at 18 percent applies to professional fees where the law requires it.
- We pass government fees, stamp duty, digital signature certificates (DSC), apostille charges and other third party costs through at cost. They appear as separate lines in the quote.
- You pay according to the payment milestones in your quote. We bill compliance retainers monthly in advance.
- Refunds follow our Refund Policy.
5. Your Responsibilities
You give us accurate and complete information and documents on time. You tell us promptly when relevant facts change, for example a change of shareholders or directors.
Our work relies on what you give us. If information is late, incomplete or wrong, timelines move. Extra work that results may need a separate quote.
6. Timelines and Approvals
Many steps depend on government portals and authorities, such as the Ministry of Corporate Affairs, the Reserve Bank of India and the GST authorities. We give estimated timelines in good faith. We do not guarantee them.
We do not guarantee that any authority will grant an approval, registration or licence.
7. Website Content Is General Information
Articles, guides and downloads on krystal7.com are general information. They are not advice for your specific case. Law and practice change, so a page may be out of date when you read it. Speak to us before you act on it.
Using the website or contacting us does not make you our client. A client relationship starts when you accept a written quote or engagement letter.
8. Confidentiality
We keep your business information confidential. We share it only with people who need it for your work. Examples are the authorities we file with and independent licensed professionals on your matter. We also share it when the law requires us to. This duty continues after the engagement ends.
Our Privacy Policy explains how we handle personal data.
9. Intellectual Property
We own or license the text, graphics, logos and downloads on krystal7.com. You may view and print pages for your own reference. You may not copy, republish or sell them without our written permission.
You may use the documents we prepare for your engagement for your own business once you have paid for them.
10. Limitation of Liability
Our total liability for any claim about an engagement has a cap. The cap is the professional fees you paid us for that engagement in the 12 months before the claim.
We are not liable for indirect or consequential loss, such as loss of profit, business or opportunity.
These limits do not apply where the law does not allow liability to be limited.
11. Termination
You can end an engagement by written notice to [email protected]. Compliance retainers need 30 days' written notice. We can end an engagement by written notice if you do not pay our invoices or if you ask us to act against the law.
When an engagement ends, you pay for work done and costs we have paid up to that date. Refunds follow our Refund Policy. We hand over your documents and the work you have paid for.
12. Force Majeure
Neither of us is liable for a delay or failure caused by events outside reasonable control. Examples are natural disasters, epidemics, war, strikes, government action and outages of government portals. If such an event affects your work, we agree the next steps with you in writing.
13. Changes to These Terms
We may update these terms. The date at the top of this section shows the latest version. A change does not alter a quote or engagement letter you have already accepted, unless we both agree in writing.
14. Governing Law and Jurisdiction
The laws of India govern these terms and every engagement. The courts at Gurugram, Haryana have exclusive jurisdiction over any dispute.
