This worksheet helps prepare a document review. The final filing and bank requirements depend on the investor and transaction.

Separate the parent's state records from documents signed by its officers. The issuing state and the place of notarisation can differ.

Document groupPreparation question
Parent registrationWhich state issued the certificate, and does the Indian filing need a certified copy?
Investment approvalDoes the resolution name the Indian investment, subscription and authorised signatory consistently?
Officer signaturesIn which state will each document be notarised, and which authority certifies that signature?
Ownership evidenceDoes the ownership chart reconcile with the corporate records and the bank's requested evidence?

For example, a Delaware parent can have an officer signing in another state. Check those two document routes separately before ordering apostilles. This is a planning example, not a completed client case.

The US State Department distinguishes federal documents from state documents. Delaware publishes its own submission instructions. Use the relevant state office for state records rather than sending the entire corporate file to the federal office.
