Name and structure
We search the MCA register and the trade marks registry, draft the business objects and set the authorised capital for your next funding round.
COMPANY REGISTRATION
One team handles the name, digital signatures, SPICe+ filing, PAN and TAN. The structure is the same for Indian founders, NRIs and foreign owners. Only the documents change.

WHAT YOU GET
Most delays come from a rejected name, a mismatched address proof or a document signed in the wrong order. We check these before anything is filed, so the first submission is the one that gets approved.
We search the MCA register and the trade marks registry, draft the business objects and set the authorised capital for your next funding round.
Class 3 digital signatures, SPICe+ Part A and Part B, e-MOA, e-AOA and AGILE-PRO-S for GST, EPFO, ESIC and a bank account.
The INC-20A declaration, first auditor appointment, share certificates and the first board meeting, all tracked to their due dates.
REQUIREMENTS AT A GLANCE
These rules come from the Companies Act, 2013 and the incorporation rules. Checked 25 Sep 2026.
| Requirement | The rule | In practice |
|---|---|---|
| Directors | At least two. One must stay in India for 182 days or more in the financial year. | Foreign nationals can be directors once they hold a DIN. |
| Shareholders | At least two, and no more than 200. | A director can also be a shareholder. A company can hold shares. |
| Share capital | No minimum paid up capital. | The MCA filing fee is zero up to INR 15 lakh authorised capital. Stamp duty varies by state. |
| Registered office | An address in India, with owner consent and a utility bill under two months old. | A home works. A virtual office must pass the GST site check. |
| Name | Unique, and not identical to a company, LLP or registered trade mark. | The name must end with Private Limited. |
| Foreign ownership | 100 percent under the automatic route in most sectors. | Owners from a country sharing a land border with India need government approval first. |
HOW WE WORK
These are our standard timings for Indian founders. Each stage starts only when the one before it is complete.
We confirm the business activity, shareholding, directors, capital and registered office. Then we run the name and trade mark checks.
We file SPICe+ Part A with two name choices and a short note on what each name means. The MCA holds an approved name for 20 days.
We issue the digital signatures and prepare the e-MOA, e-AOA, director consents and subscriber declarations. Every signer gets a short signing guide.
We file SPICe+ Part B with AGILE-PRO-S. The certificate of incorporation arrives with the CIN, PAN and TAN.
Founders outside India should add the time to notarise and apostille documents in their home country. The bank account and GST registration usually take 2 to 3 weeks after incorporation. Where Press Note 3 applies, government approval adds about six months.
DOCUMENT CHECKLIST
Names must match across every document. A mismatch between a passport and a bank statement is the most common reason for a resubmission.
AFTER INCORPORATION
The certificate is the start. These filings keep the company in good standing, and missing two years of annual returns can get it struck off.
| Obligation | When it is due | Form or record |
|---|---|---|
| First auditor appointed by the board | Within 30 days of incorporation | Board resolution and auditor consent |
| Share certificates issued | Within 60 days of incorporation | SH-1 and the register of members |
| Commencement of business declared | Within 180 days, after subscription money reaches the company bank account | INC-20A |
| Board meetings | First within 30 days, then four a year, or two for a small company | Minutes and attendance records |
| Financial statements filed | Within 30 days of the annual general meeting | AOC-4 |
| Annual return filed | Within 60 days of the annual general meeting | MGT-7 or MGT-7A |
| Director KYC | Once every three financial years, by 30 June, and within 30 days of a change in contact details | DIR-3 KYC |
| Company income tax return | 31 October, or 30 November where transfer pricing applies | ITR-6 |
| Foreign investment reports | FC-GPR within 30 days of allotment, FLA return by 15 July each year | RBI FIRMS portal |
BUILD THE RIGHT ENGAGEMENT
The company is the same. The documents are not. Passports and address proofs are apostilled in the home country, or attested by the Indian mission where the country is outside the Apostille Convention.
Foreign money for shares must arrive through banking channels, and the allotment is reported to the RBI in FC-GPR within 30 days. If a parent company will hold the shares, see our foreign subsidiary registration service.
Choose a Private Limited company if you plan to raise equity, issue ESOPs or bring in foreign investors. Investors expect it.
An LLP suits a professional practice with lower compliance. An OPC suits one Indian founder who wants limited liability without a second shareholder.
Our professional fee is fixed in writing before we start. Government fees and stamp duty are shown separately, at cost.
The fee depends on the number of directors, whether any of them are overseas, the state of the registered office and whether you want the first year compliance calendar included.
YOUR QUESTIONS
Clear expectations make a better engagement.
There is no legal minimum. Most founders start with INR 1 lakh to INR 10 lakh of authorised capital. The MCA fee is zero up to INR 15 lakh, so there is little reason to go below what your first year needs.
Two directors and two shareholders. The same two people can fill both roles. At least one director must have stayed in India for 182 days or more in the financial year.
About 8 to 10 working days for Indian founders, from name application to the certificate of incorporation. Overseas founders should add the time for apostille in their home country.
Yes. You need the owner’s consent and a utility bill under two months old. If the property is rented, add the rent agreement.
Yes. Foreign nationals can hold up to 100 percent of the shares in most sectors under the automatic route. At least one director must meet the Indian residency test.
It can be applied for through AGILE-PRO-S with SPICe+. It is compulsory only above the turnover threshold, for interstate supply of goods, or for certain activities such as ecommerce selling.
Board meetings, the statutory audit, AOC-4 and MGT-7 or MGT-7A with the ROC, the income tax return and director KYC. Foreign owned companies also file the FLA return with the RBI by 15 July.
The ROC can strike it off after two years without annual filings, and the directors can be disqualified. Our compliance rescue team handles revival through the Tribunal.
