## AI Overview Summary

- Section 12(1) of the Companies Act, 2013 requires a registered office within 30 days of incorporation that can receive and acknowledge all communications and notices.
- Rule 25 asks for the title document or a notarised rent agreement with a rent receipt not older than one month, the owner's authorisation, and a utility bill not older than two months.
- Under rule 25B, the Registrar can physically verify the registered office with two local witnesses and, if it cannot receive communications, start strike off action under section 248 after 30 days' notice.
- The state of the registered office sets the MoA and AoA stamp duty: on Krystal7's 2026 challans for ₹15 lakh capital, Haryana charged ₹195 and Delhi ₹2,460.
- A change of registered office must be notified in INC-22 within 30 days; a move to another ROC or another state needs Regional Director or Central Government approval first.

**Section 12 of the Companies Act, 2013 requires every company to have a registered office within 30 days of incorporation. The office must be able to receive and acknowledge all communications and notices. Rule 25 asks for proof of title or a rent agreement, the owner's authorisation, and a utility bill not older than two months. A home, a shop or a co working desk can qualify when the documents line up and someone receives the post there. The state you choose fixes the stamp duty on the MoA and AoA, and the same address feeds the GST and bank files.**

This page sets out the registered office rules as they stand on 26 Oct 2026. It covers section 12, the documents in rule 25, and homes, co working spaces and virtual offices. It then explains physical verification under rule 25B, stamp duty by state, GST and bank checks, and moving the office later. It closes with the address proofs we accept, a worked example with real challans, a checklist and FAQs.

## What does section 12 require of a new company?

Section 12 of the Companies Act, 2013 is the registered office section. It sets a deadline, a verification filing, display duties and the rules for moving. The Companies (Amendment) Act, 2017 raised the deadlines in sections 12(1) and 12(4) from 15 days to 30 days.

| Provision | Requirement | Time limit or form |
|---|---|---|
| Section 12(1) | Have a registered office capable of receiving and acknowledging all communications and notices | Within 30 days of incorporation and at all times after |
| Section 12(2) | File verification of the registered office with the Registrar | Within 30 days of incorporation, in INC-22 under rule 25 |
| Section 12(3)(a) | Paint or affix the name and registered office address outside every office or place of business, also in the local script where that differs | From the day the office is in use |
| Section 12(3)(c) | Print the name, registered office address, CIN and telephone number, plus any fax, email and website, on letters, bills, letterheads, notices and official publications | Every document |
| Section 12(3)(d) | Print the name on hundis, promissory notes, bills of exchange and other prescribed documents | Every document |
| Section 12(4) | Give the Registrar notice of any change in the situation of the registered office | Within 30 days of the change, in INC-22 under rule 27 |
| Section 12(5) | Special resolution to move outside the city, town or village; Regional Director's confirmation to move to another ROC in the same state | Before the move |
| Section 12(8) | Penalty on the company and every officer in default | ₹1,000 a day, up to ₹1,00,000 |
| Section 12(9) | Physical verification of the registered office where the Registrar suspects no business is carried on | Can lead to removal of the name under Chapter XVIII |

Two provisos to section 12(3) catch new companies. A company that changed its name in the last two years must also show its former name. A One Person Company must print "One Person Company" in brackets below its name. Rule 26 adds a website duty. A company with a website shows its name, registered office address, CIN, telephone, email and a grievance contact on the home page.

## Do you need the registered office at incorporation?

The law gives 30 days, but we give the address at incorporation. SPICe+ Part B asks for the company's registered or correspondence address. If the registered office is not given there, section 12(2) requires a separate INC-22 within 30 days of incorporation.

We avoid that second filing for three reasons. The bank and GST applications need an address within days of incorporation. Section 10A also blocks the company from starting business until it has filed the registered office verification. Finally, one address on every record removes a common bank query. Our guide to [INC-20A and commencement of business](/insights/inc-20a-commencement-of-business-foreign-subsidiary) covers the section 10A declaration.

The state goes into the memorandum. Section 4(1)(b) requires the MoA to state the State in which the registered office will be situated. Changing that state later means altering the memorandum, so choose with care. Our [SPICe+ incorporation guide](/insights/spice-incorporation-spice-plus-guide-2026) shows where the address sits in the form.

## Which documents prove the registered office address?

Rule 25(2) of the Companies (Incorporation) Rules, 2014 lists the attachments to INC-22. On our SPICe+ filings we attach the same set at incorporation, because it answers the questions the reviewer asks either way.

| Rule 25(2) item | What the rule asks for | Our notes |
|---|---|---|
| (a) Title document | The registered title document of the premises in the name of the company | Only possible once the company owns the property |
| (b) Lease or rent agreement | A notarised copy of the lease or rent agreement in the name of the company, with a rent paid receipt not older than one month | Used for INC-22 after incorporation; before incorporation the company cannot sign a lease |
| (c) Authorisation from the owner | The owner's or authorised occupant's authorisation to use the premises as the registered office, with proof of ownership or occupancy | This is the NOC; we want it signed by the owner, with a copy of the owner's ID |
| (d) Utility bill | Proof of a utility service such as telephone, gas or electricity, showing the address in the name of the owner or document holder, not older than two months | The bill must match the owner named in the NOC |

Source: Rule 25 of the Companies (Incorporation) Rules, 2014 (read 26 Oct 2026).

Rule 25 reads (a) or (b), then (c) and (d). In practice, a new company files (c) and (d), and adds (b) whenever a rent agreement exists. On our filings, the ownership proof for (c) is usually a sale deed or a property tax receipt in the owner's name.

The two month limit on the utility bill trips many foreign founders. Documents are often collected early, then wait while the director's papers are apostilled. On our filings, apostille and notarisation take the client about 4 to 5 business days. A bill collected at the start can pass the two month mark if the courier slips, so we ask for the latest bill last.

## Which address proofs do we accept?

The table shows how we treat the situations founders bring to us. It reflects our filing experience, not a rule that the Registrar publishes.

| Situation | Documents we ask for | Our view |
|---|---|---|
| Property owned by the Indian director or a shareholder | Owner's NOC, sale deed or property tax receipt, electricity bill not older than two months | Straightforward |
| Property owned by a relative of a director | Owner's NOC, owner's ownership proof and ID, utility bill in the owner's name | Accepted; the NOC must come from the owner, not the director |
| Flat rented by a director, before incorporation | Owner's NOC naming the proposed company, rent agreement, owner's utility bill | Accepted with the owner's NOC; a NOC from the tenant alone invites a query |
| Premises rented by the company after incorporation | Notarised lease in the company's name, rent receipt not older than one month, owner's NOC, utility bill | Needed for an INC-22 change filing |
| Co working space with a dedicated desk or cabin | Agreement with the operator, operator's NOC, operator's lease or title as proof of occupancy, utility bill | Accepted when staff or the operator receive post and the name is displayed |
| Virtual office that only forwards mail | Operator's NOC and bill | High risk under section 12(9) and rule 25B; we advise against it |
| Shared premises with another business | Consent letter from the owner or main occupant, ownership proof, utility bill | Accepted; display the company's own name board |
| Utility bill in a previous owner's name | Property tax receipt or a fresh bill in the current owner's name | Not accepted as it stands |
| Office of the foreign parent abroad | None | Not possible; the registered office must be in an Indian State |

## Can a residential address be the registered office?

Yes. Nothing in section 12 or rule 25 bars a residential property. The test in section 12(1) is whether the office can receive and acknowledge communications and notices.

Many foreign owned companies start from the Indian director's home or a relative's flat. We ask for three things in that case. The owner signs the NOC, the latest electricity bill is in the owner's name, and someone at the address will sign for registered post. Some housing societies object to commercial use, so we ask the owner to confirm there is no society restriction.

The name board still applies. Section 12(3)(a) requires the company's name and registered office address outside every office or place of business. We fix a small plate with the name and address at the door. It also helps when a bank officer or an ROC official visits.

## Are co working spaces and virtual offices safe?

A co working space with a dedicated seat is a workable registered office. A virtual office that only provides an address is the setup most exposed to physical verification. The difference is whether someone at the address can receive and acknowledge a notice for the company.

Section 12(9), inserted by the Companies (Amendment) Act, 2019 with effect from 2 Nov 2018, lets the Registrar physically verify the registered office. The trigger is reasonable cause to believe the company is not carrying on business. Rule 25B, inserted on 18 Aug 2022, sets the procedure.

| Step under rule 25B | What happens |
|---|---|
| Visit | The Registrar visits the registered office based on information on MCA21, with two independent witnesses from the locality, and may seek police help |
| Check | The Registrar compares the documents filed on MCA21 with authenticated copies collected at the visit |
| Record | The Registrar photographs the registered office and prepares a report in the prescribed format |
| Notice | If the office cannot receive and acknowledge communications, the Registrar notifies the company and its directors of the intention to remove its name, giving 30 days for representations |
| Action | After that period, the Registrar can act under section 248 to strike the name off |

Source: Section 12(9) of the Companies Act, 2013; rule 25B of the Companies (Incorporation) Rules, 2014 (read 26 Oct 2026).

For co working, we ask the operator for three things. The agreement must name the company, the operator must accept post on the company's behalf, and the company's name must appear at the space. If the operator cannot do that, we look for another address.

## How does the state of the registered office change stamp duty and the ROC?

The state in the memorandum decides the stamp duty on the MoA and AoA, because each state sets its own rates. The two SPICe+ challans below are real payments Krystal7 made in 2026, both for ₹15 lakh of authorised capital.

| Item | Haryana, paid 14 Aug 2026 | Delhi, paid 15 Oct 2026 |
|---|---|---|
| MoA stamp duty | ₹60 | ₹200 |
| AoA stamp duty | ₹120 | ₹2,250 (0.15% of authorised capital) |
| Linked forms stamp duty | ₹15 | ₹10 |
| Total stamp duty | ₹195 | ₹2,460 |
| "Fee for SPICE + Part B" (PAN and TAN) | ₹143 | ₹143 |
| MCA registration fee up to ₹15 lakh | Nil | Nil |
| Total on the challan | ₹338 | ₹2,603 |

Source: Krystal7 SPICe+ challans, Haryana (14 Aug 2026) and Delhi (15 Oct 2026); MCA registration fee nil up to ₹15 lakh authorised capital from 18 Mar 2019.

The ₹143 is ₹66 for PAN and ₹77 for TAN. For other states and capital amounts, our [company registration cost calculator](/static/tools/company-registration-cost-calculator.html) runs the figures.

The address also decides the Registrar of Companies (ROC) that handles the company after incorporation. Name reservation runs through the Central Registration Centre. Later filings, notices and any physical verification sit with the ROC whose jurisdiction covers the registered office. Moving to another ROC's area inside a state needs the Regional Director's confirmation under section 12(5). If you are still choosing a city, our [comparison of Bengaluru, Hyderabad, Pune and Gurugram](/insights/tech-hubs-india-bengaluru-hyderabad-pune-gurugram-comparison) sets out the trade offs.

## What does GST need for the principal place of business?

GST registration asks for proof of the principal place of business, which need not be the registered office. The GST portal lists the documents by type of premises.

| Premises | Documents the GST portal asks for | Matching MCA document |
|---|---|---|
| Owned | Any document supporting ownership, such as the latest property tax receipt, municipal khata copy or electricity bill | Title proof and utility bill under rule 25 |
| Rented or leased | A valid rent or lease agreement, plus an ownership document of the lessor, such as a property tax receipt, municipal khata or electricity bill | Rent agreement, owner's NOC and utility bill |
| Not covered above | A consent letter, plus an ownership document of the person giving consent | Owner's NOC under rule 25(2)(c) |
| Shared | The same documents as above | Owner's or main occupant's NOC |
| SEZ unit or developer | Proof of the SEZ approval for the premises | Not applicable |

Source: GST portal user manual, Apply for Registration (Normal Taxpayer), proof of principal place of business (read 26 Oct 2026).

Each upload is a PDF or JPEG of up to 1 MB. Aadhaar authentication is the default. Where biometric authentication applies, the promoters and the primary authorised signatory visit a GST Suvidha Kendra. The application reference number issues only if that visit is completed within 15 days.

When the registered office and the GST principal place of business are the same, we use one document set. A GST officer who sees one owner on the NOC and another on the electricity bill raises a query. If the company works from a different address, register that address for GST and keep the registered office documents on file. Our guide to [GST registration for foreign companies](/insights/gst-registration-for-foreign-companies-in-india) covers the rest of the application.

## What will the bank check about the address?

The bank collects the registered office address as part of the company's KYC. RBI's Master Direction on KYC, paragraph 30, lists the documents for opening a company's account. The list ends with the registered office and the principal place of business, if different.

On our filings, the bank account takes about 30 calendar days after incorporation, and GST about 48 hours after that. On our filings, banks compare the address on the account form with the certificate of incorporation, and a mismatch delays the account. Krystal7 has a banking partnership with ICICI Bank, and US based founders can complete signatory KYC at ICICI's New York branch. Our guide to the [bank account for an Indian subsidiary](/insights/bank-account-for-indian-subsidiary-documents-timeline) lists the full document set.

## How do you change the registered office later?

The approval depends on how far the office moves. Section 12 and section 13 of the Companies Act, 2013, with rules 27, 28 and 30, set the steps.

| Move | Approval | Forms and time limits |
|---|---|---|
| Within the same city, town or village | Board resolution | INC-22 within 30 days of the change |
| Outside the local limits, same ROC, same state | Special resolution under section 12(5) | MGT-14 for the special resolution; INC-22 within 30 days |
| To another ROC's area in the same state | Special resolution and the Regional Director's confirmation under section 12(5) | INC-23 to the Regional Director; order within 15 days of a complete application under rule 28; INC-28 within 30 days of receiving the order; then INC-22 |
| To another state | Alteration of the memorandum under section 13(4), with Central Government approval | INC-23 under rule 30; advertisement in INC-26; order within 15 days if no objection, or 60 days after a hearing; then INC-28 and INC-22 |

Rules 28 and 30 bar a shift while certain inquiries or prosecutions are pending against the company. A move between states also moves the company to a new ROC. Our full guide to [changing the registered office of an Indian company](/insights/change-registered-office-indian-company) walks through each route with the documents.

## What are the penalties for getting the registered office wrong?

| Default | Consequence | Provision |
|---|---|---|
| Any breach of section 12, such as a missing name board, missing CIN on letterheads or a late INC-22 | Penalty of ₹1,000 a day while the default continues, up to ₹1,00,000, on the company and every officer in default | Section 12(8) |
| Registered office not capable of receiving communications, found on physical verification | Notice of intention to remove the name; 30 days to respond; then action under section 248 | Section 12(9); rule 25B |
| Registered office verification not filed before commencement of business | The company cannot start business or borrow; penalty of ₹50,000 on the company and ₹1,000 a day, up to ₹1,00,000, on each officer in default for a missing declaration | Section 10A |

## Worked example

A UK parent sets up a wholly owned Indian subsidiary with ₹15 lakh authorised capital. The Indian director lives in Gurugram but the sales team will sit in Delhi. The parent asks whether to register the company in Haryana or Delhi.

1. Government cost: the Haryana challan is ₹338 and the Delhi challan is ₹2,603, using our 2026 challans. Name reservation adds ₹1,000 in both states.
2. Address proof: the director's own flat in Gurugram has his NOC, the sale deed and a fresh electricity bill. The Delhi option is a co working cabin, which needs the operator's NOC, its lease and its bill.
3. GST: the Delhi office needs its own GST registration in Delhi, whichever state holds the registered office.
4. Decision: the parent registers in Haryana at the director's flat and adds the Delhi office for GST later.

| Cost line | Haryana | Delhi |
|---|---|---|
| Name reservation | ₹1,000 | ₹1,000 |
| PAN and TAN | ₹143 | ₹143 |
| Stamp duty | ₹195 | ₹2,460 |
| MCA registration fee | Nil | Nil |
| Total government cost | ₹1,338 | ₹3,603 |
| Difference | | ₹2,265 more in Delhi |

Sources: Krystal7 SPICe+ challans, Haryana (14 Aug 2026) and Delhi (15 Oct 2026); MCA name reservation fee ₹1,000.

The stamp duty gap is small in rupees at this capital. The larger point is the paperwork: a home the director owns gives the cleanest document set and the lowest physical verification risk.

## Common mistakes

1. **Using a utility bill older than two months.** Fix: collect the latest bill last, after the foreign documents are apostilled.
2. **Getting the NOC from the tenant instead of the owner.** Fix: ask the owner to sign, with ownership proof and ID attached.
3. **A bill in one name and an NOC in another.** Fix: match the bill, the ownership proof and the NOC to the same owner.
4. **Choosing a virtual office that only forwards mail.** Fix: use a dedicated seat where the operator signs for post, or a director's home.
5. **Three addresses across MCA, GST and the bank.** Fix: use one address and one document set unless the business runs from elsewhere.
6. **No name board at the registered office.** Fix: fix a plate with the name and address outside the door, as section 12(3)(a) requires.
7. **Letterheads and invoices without the CIN.** Fix: print the name, registered office address, CIN, telephone and email on every business letter.
8. **Moving the office without filing INC-22.** Fix: file within 30 days of the change, and check first whether the move needs a special resolution.
9. **Picking a state without checking the cost of moving later.** Fix: a move between states needs Central Government approval, so choose the state at incorporation.

## Checklist for registered office address proof

1. Choose the state, and note its stamp duty and the ROC that will handle the company.
2. Pick an address where someone can receive and acknowledge notices for the company.
3. Get the owner's NOC naming the proposed company, signed by the owner.
4. Collect the owner's proof of ownership, such as a sale deed or property tax receipt.
5. Collect the latest utility bill in the owner's name, not older than two months on the filing date.
6. Add the rent agreement and a rent receipt not older than one month where premises are rented.
7. For co working, collect the operator's agreement, NOC, proof of occupancy and bill.
8. Give the registered office in SPICe+ Part B so no separate INC-22 is needed.
9. Use the same address and documents for GST and the bank account.
10. Fix the name board and print the CIN on letterheads once the company is incorporated.
11. Diary 30 days for INC-22 if the office ever moves.

If you want us to vet the address documents and file the incorporation, see our [foreign subsidiary incorporation service](/services/foreign-subsidiary.html). The published fee band is USD 1,200 to USD 1,700, with government fees passed on at cost. For the GST side, see our [GST registration service](/services/gst-registration.html).

## Key terms

- **Registered office**: Section 12 of the Companies Act, 2013 requires every Indian company to have a registered office in India, within 30 days of incorporation and at all times after, that can receive notices. Proof is a recent utility bill plus the owner's no objection letter or a rent agreement. A later change goes to the Registrar in Form INC-22. (https://krystal7.com/glossary#registered-office)
- **INC-22**: INC-22 is the MCA form for verifying the registered office and for notifying a change in its situation. Rule 25 lists the documents it carries, and a change must be filed within 30 days. (https://krystal7.com/glossary#inc-22)
- **Registered office NOC**: The registered office NOC is the owner's or authorised occupant's written authorisation for the company to use premises as its registered office. Rule 25(2)(c) requires it with proof of ownership or occupancy. (https://krystal7.com/glossary#registered-office-noc)
- **Physical verification of registered office**: Physical verification is a visit by the Registrar to check that a company's registered office exists and can receive communications. Section 12(9) and rule 25B allow it, and a failed check can lead to strike off. (https://krystal7.com/glossary#physical-verification-registered-office)
- **Principal place of business**: The principal place of business is the main address a GST applicant declares in its registration. The GST portal asks for ownership, rent or consent documents for it, and it need not be the registered office. (https://krystal7.com/glossary#principal-place-of-business)

## Frequently Asked Questions

### Can my home be the registered office of a company?
Yes. Nothing in section 12 or rule 25 bars a residential property, as long as the office can receive and acknowledge notices. You need the owner's NOC, ownership proof and a utility bill not older than two months.

### How old can the utility bill be?
Not older than two months, under rule 25(2)(d) of the Companies (Incorporation) Rules, 2014. The bill can be for electricity, gas or telephone. It must show the address and the owner's name.

### Does the rent agreement have to be notarised?
For INC-22, rule 25(2)(b) asks for a notarised copy of the lease or rent agreement in the company's name. It also needs a rent paid receipt not older than one month. Before incorporation, the owner's NOC and a utility bill carry the filing.

### Can a co working space be the registered office?
Yes, in our experience, when the company has a dedicated seat or cabin. The operator should accept post for the company and let it display its name. A virtual address that only forwards mail carries a high risk under rule 25B.

### Is a virtual office allowed as a registered office?
The law does not name virtual offices, but section 12(1) requires an office that can receive and acknowledge communications. If an ROC visit finds no one to do that, rule 25B leads to a strike off notice. We advise against an address only arrangement.

### When must the company have a registered office?
Within 30 days of incorporation and at all times after, under section 12(1). Verification is due in INC-22 within the same 30 days unless the address was given in SPICe+. We give it in SPICe+ so the company starts with one address on record.

### Who signs the NOC for the registered office?
The owner of the premises, or an authorised occupant with proof of occupancy, under rule 25(2)(c). We prefer the owner's signature even when a director rents the flat. A tenant's NOC alone often draws a query.

### Can the registered office be in a different state from the business?
Yes. The registered office state goes into the MoA, and the business can run from any state. GST registration follows the places you supply from, so each state with an office needs its own GST registration.

### Does the registered office state affect stamp duty?
Yes. Stamp duty on the MoA and AoA follows the state of the registered office. On our 2026 challans for ₹15 lakh capital, Haryana charged ₹195 and Delhi charged ₹2,460.

### Do I need a name board at the registered office?
Yes. Section 12(3)(a) requires the name and registered office address outside every office or place of business. Where the local language uses another script, the board also carries the name in that script.

### What must a company print on its letterheads?
Section 12(3)(c) requires the name, registered office address, CIN, telephone number and any fax, email and website. The same details go on bills, notices and official publications. A company that changed its name in the last two years also shows the former name.

### How long do we have to report a new registered office?
Thirty days from the change, in INC-22 under section 12(4) and rule 27. A move outside the city needs a special resolution first. A move to another ROC's area or another state needs Regional Director or Central Government approval before the change.

### What happens if the ROC finds the office closed?
Under rule 25B, the Registrar sends the company and its directors a notice of the intention to remove its name. The company has 30 days to respond. After that, the Registrar can act under section 248.

### Can the foreign parent's office be the registered office?
No. Section 4(1)(b) requires the memorandum to name the Indian State where the registered office will be. The office must be at an address in India.
